APsystems Distributor Marketing Policy
1. Promotion and Marketing Requirements
The Distributor agrees to actively promote APsystems products and brand through various marketing channels, including but not limited to social media, digital marketing, and email marketing. The Distributor shall make reasonable efforts to market APsystems products to their customers and integrate APsystems branding into their promotional activities.
While many of our partners promote APsystems out of mutual business interest, we understand that some distributors may have internal policies regarding co-marketing. If co-marketing arrangements are a requirement for your organization, please contact your APsystems sales representative to discuss and establish these arrangements.
APsystems may provide promotion items, swag, apparel, printed literature, demonstration units
2. Compliance with Minimum Advertised Selling Price (MASP)
The Distributor must adhere to APsystems’ policy on the Minimum Advertised Selling Price (MASP) as detailed in the Master Supply Agreement (MSA). This ensures that all marketing and promotional activities reflect the agreed pricing policies and standards.
3. Marketing Material Approval
Any marketing material created by the Distributor that includes APsystems trademarks, product descriptions, company names, or images must receive written approval from the APsystems Marketing Team prior to use. This process is in place to ensure that all promotional content aligns with APsystems’ image, positioning, and quality standards.
4. Lawful and Appropriate Promotion
All promotional activities carried out by the Distributor must be lawful and appropriate, preserving the reputation and image of APsystems and its products. This includes adherence to any relevant advertising regulations and ethical standards.
5. Training and Support
The Distributor agrees to organize training sessions on APsystems products for their team and customers. APsystems will provide necessary support to facilitate these training events. The Distributor will make all reasonable efforts to support and promote the training sessions, ensuring that both their employees and customers are well-informed about APsystems products.
6. Policy Evolution
This marketing policy may evolve during the term of this Agreement. The Distributor agrees to comply with any updates or changes to the policy as communicated by APsystems.
7. Marketing Resources and Support
APsystems will provide the Distributor with access to marketing resources, including brand guidelines, product images, and promotional materials. The Distributor agrees to utilize these resources in compliance with APsystems’ branding standards and to request additional support or resources from APsystems as needed.
8. Confidentiality and Intellectual Property
The Distributor agrees to maintain the confidentiality of any proprietary or confidential information shared by APsystems per NDA, and to use APsystems’ intellectual property solely for the purposes outlined in this Agreement. Any unauthorized use or disclosure of APsystems’ intellectual property is prohibited.
